RYVO – MASTER TERMS & CONDITIONS

These Master Terms & Conditions (“Terms”) govern your relationship with Cypherwave Technologies Limited and Transferhive Ltd., collectively operating under the “Ryvo” brand (“Ryvo”, “we”, “us”, “our”).
By registering for or using our Services, you agree to be bound by these Terms, our Pricing List, Privacy Policy, Terms of Use, and all Annexes (the “Agreement”).
If you do not agree, you must not use our Services.
Where inconsistencies arise, the following order of precedence applies:

1. Legal Entities & Service Allocation
1.1 Cypherwave Technologies Limited (Cyprus)

Cypherwave exclusively provides the following “Ryvopay Financial Services”:
- Virtual IBAN (VIBAN) accounts
- SEPA and SWIFT transfers
- Fiat payment processing
- Merchant fiat settlement services
- EU/EEA payment solutions
Cypherwave does NOT provide cryptocurrency services.
1.2 Transferhive Ltd. (Canada)

- Registered Address: 100 Main Street, Ontario, L8N3W4, Canada
Transferhive exclusively provides all “Ryvo Crypto & Card Services”:
- Cryptocurrency purchase & sale
- Crypto-to-fiat conversion
- Custodial digital asset services
- Blockchain transfers
- Crypto settlement services
- Crypto merchant processing
- Crypto card processing gateway
- Merchant acquiring for crypto transactions
- Digital asset compliance monitoring
Transferhive is the entity responsible for all MSB obligations under Canadian law.
1.3 Unified Brand – Ryvo
“Ryvo” is a commercial brand.
The customer contracts with the correct legal entity depending on the service used.
2. Eligibility
To use Ryvo Services, you must:
- Be at least 18 years old
- Complete KYC/AML verification
- Not be subject to sanctions
- Comply with local laws applicable to you
- Not use Ryvo for unlawful purposes
3. Global Service Access (Reverse Solicitation)
Ryvo operates globally; however:
Ryvo does not solicit, market, or advertise
crypto or payment services outside authorized jurisdictions.
If you access our platform from outside Canada or Cyprus, you confirm:
- You initiated contact voluntarily
- No Ryvo entity solicited you
- You are solely responsible for ensuring that use is legal in your country
Reverse solicitation protections apply globally.
4. Account Registration & KYC
You must:
- Submit accurate information
- Provide government-issued ID
- Supply any compliance documents requested
Ryvo may:
- Request enhanced due diligence
- Reject applications
- Suspend or terminate accounts for compliance reasons
All data is processed under GDPR and/or PIPEDA depending on the entity providing the service.
5. Scope of Services
5.1 Ryvopay Financial Services (Cypherwave – Cyprus)
Includes:
- VIBAN issuance and account functionality
- SEPA and SWIFT transfers
- Business and personal fiat payments
- Access to EU financial partners
5.2 Ryvo Crypto & Card Services (Transferhive – Canada)
Includes:
- Crypto on/off-ramp
- Blockchain network transfers
- Custodial wallet services
- Crypto merchant payment processing
- Crypto card processingc
- Crypto settlement and conversion
- Chargeback and fraud monitoring (card merchants)
Transferhive alone is the contracting entity for these services.
6. Payment Orders & Crypto Transactions
6.1 Payment Orders (Fiat)
Cypherwave executes fiat Payment Orders.
Delays may occur due to:
- Bank compliance
- Sanctions screening
- Insufficient balance
- Incorrect beneficiary details
6.2 Crypto Transactions
Transferhive executes crypto transactions.
You acknowledge that:
- Crypto is highly volatile
- Blockchain transactions are irreversible
- Network congestion or errors may delay confirmations
- Incorrect wallet addresses lead to permanent loss
Ryvo is not responsible for third-party blockchain failures.
7. Security Requirements
You must:
- Use strong passwords
- Safeguard credentials
- Enable 2FA
- Report unauthorized activity immediately
You are liable for unauthorized transactions performed using your credentials.
8. Fees & Taxes
All fees are listed in the Pricing List.
Ryvo may:
- Deduct fees automatically
- Update fees with notice
- Charge interest on unpaid balances
Interest rates:
- EU: ECB + 2%
- CANADA: Bank of Canada + 2%
9. Restrictions on Use
You may NOT use Ryvo for:
- Money laundering
- Sanctions evasion
- Fraud
- Illegal commerce
- Crypto tumbling or anonymity services
- High-risk activities without approval
Ryvo may suspend accounts with immediate effect.
10. Service Suspension & Termination
Ryvo may suspend or terminate service due to:
- Compliance failures
- Risk concerns
- Regulatory obligations
- Misuse of services
- Non-payment of fees
Funds or assets may be frozen if legally required.
11. Data Protection & Confidentiality
Ryvo complies with:
- GDPR (Cyprus entity)
- PIPEDA (Canada entity)
- Applicable international regulations
Data may be shared with:
- Regulators
- Banking partners
- KYC/AML providers
- Custodians
- Payment/card networks
Confidentiality survives termination.
12. Liability
Ryvo is not liable for:
- Indirect or consequential damages
- Blockchain failures
- Bank/payment network outages
- Partner bank delays
- Custodian failures
- Losses due to incorrect wallet addresses
Maximum liability is limited to:
Fees paid by you in the previous 12 months.
13. Governing Law
The governing law depends on the service used:
Ryvopay (Fiat Services):
Governing Law → Cyprus
Jurisdiction → Courts of Nicosia
Ryvo Crypto & Card Services:
Governing Law → Canada
Jurisdiction → Courts of Ontario
14. Entire Agreement
These Terms constitute the entire agreement between the Customer and Ryvo.
They supersede any prior agreements or representations.
